1. About these terms
This website is operated by the Africa Green Transition PPP Fund (AGTPF), a public-private partnership fund domiciled in Luxembourg as a reserved alternative investment fund (RAIF) in the legal form of a SICAV. In these terms, "we", "us" and "our" mean AGTPF, and "you" means the person using this website.
By accessing or using this website you agree to these terms. If you do not agree to them, please do not use the site.
These terms should be read together with our Privacy Policy, our Cookie Policy, the sustainability disclosures on our SFDR Disclosure page, and the notice to recipients in the European Economic Area set out in the footer of every page.
2. No offer, and no investment advice
The Fund is in formation. All information on this website is provided for pre-marketing purposes only. Nothing on this website is:
- an offer to sell, or a solicitation of an offer to buy, any security or interest in any fund
- investment, legal, tax or accounting advice, or a personal recommendation
- a prospectus, offering memorandum or other offering document
Any offer of interests in the Fund would be made only through the Fund's offering memorandum and related subscription documents, and only in jurisdictions where such an offer is lawful. In the event of any inconsistency between this website and the offering documents, the offering documents prevail.
Target returns, pipeline figures, capacity data and timelines shown on this website are estimates or objectives based on current information and assumptions. They are not guarantees. Past performance does not predict future returns, and your investment could lose value. You should take your own professional advice before making any investment decision.
3. Who may use this site
Material on this website relating to the Fund is directed only at persons who qualify as professional investors within the meaning of Directive 2014/65/EU (MiFID II), as implemented in each EEA member state. It is not directed at retail investors, and no key information document has been prepared.
The website is not directed at any person in any jurisdiction where publishing or making it available would be contrary to local law. If local restrictions apply to you, it is your responsibility to observe them. By using this site you confirm that you may lawfully do so.
4. Acceptable use
You agree not to:
- use the website for any unlawful or fraudulent purpose
- attempt to gain unauthorised access to any part of the website, its servers or any connected system
- introduce malware, or otherwise interfere with the proper working of the website
- use automated systems to scrape, harvest or copy content from the website, other than standard search engine indexing
- place an excessive load on our infrastructure, or attempt to disrupt availability for other users
- reproduce, distribute or republish material from this website except as permitted in section 7
- misrepresent your identity or your relationship with any person or organisation
We may suspend or withdraw your access to the website, without notice, if we reasonably believe you have breached these terms.
5. Dashboard accounts
Some parts of this website require an account. Account requests are reviewed and access is granted at our discretion. We may refuse, suspend or withdraw an account at any time.
You are responsible for keeping your login credentials confidential and for all activity carried out under your account. Tell us promptly if you believe your account has been used without your authorisation. You must not share your credentials or allow anyone else to use your account.
Material available behind a login is confidential. You must not disclose it to any third party without our written consent.
6. Project submissions and other content you provide
If you submit a project proposal, an enquiry or other material through this website, you confirm that:
- the information you provide is accurate to the best of your knowledge
- you have the right to provide it, and doing so does not breach any obligation of confidence or any third-party right
- it does not contain anything unlawful, defamatory or malicious
You keep ownership of what you submit. You grant us a non-exclusive, royalty-free licence to store, copy and use it for the purpose of assessing and responding to your submission, and for our internal record keeping.
Submitting a project does not create any obligation on us to review, respond to, fund or progress it, and it does not create any partnership, joint venture or agency relationship between us. We may receive proposals that are similar to yours from other parties, and nothing in these terms restricts us from pursuing them.
Please do not send us confidential or commercially sensitive information through this website. If a confidentiality arrangement is needed, contact us first so that one can be put in place.
7. Intellectual property
Unless stated otherwise, all content on this website, including text, graphics, logos, images, page layout and code, is owned by us or licensed to us, and is protected by copyright and other intellectual property rights.
You may view the website, and print or download extracts, for your own internal and non-commercial use in evaluating the Fund. You must not modify the material, use it for any commercial purpose, or remove any copyright or other proprietary notice, without our written permission.
Names, logos and trade marks of third parties appearing on this website, including those of our partners and of the institutions whose frameworks we reference, belong to their respective owners and are used for identification purposes.
8. Third-party content and links
This website links to websites and documents controlled by third parties, including partner organisations and documents hosted on third-party services. We provide those links for convenience. We do not control that content, we do not endorse it, and we are not responsible for it. Following an external link is at your own risk.
Data attributed to external sources, such as IRENA, the African Development Bank or the Africa Energy Outlook, remains the work of those sources and is reproduced in summary form. You should refer to the original publication before relying on any figure.
9. Availability and accuracy
We aim to keep this website available and up to date, but we do not guarantee that it will be uninterrupted, error-free or free of harmful components. We may change, suspend or withdraw all or part of the website at any time without notice.
Information on this website is provided in good faith and is believed to be accurate at the date shown, but it may become out of date. Except where the law says otherwise, we give no warranty of any kind, express or implied, about the accuracy or completeness of the content.
10. Limitation of liability
Nothing in these terms excludes or limits our liability for fraud or fraudulent misrepresentation, for death or personal injury caused by our negligence, or for any other liability that cannot lawfully be excluded or limited.
Subject to that, we will not be liable to you for any loss of profit, loss of business, loss of anticipated savings, loss of data, or any indirect or consequential loss, arising from your use of this website or your reliance on any content on it.
This website is an information resource. Any investment decision must be based on the Fund's offering documents and your own professional advice, not on this website.
11. Indemnity
You agree to indemnify us against any claim, loss or cost, including reasonable legal fees, arising from your breach of these terms, your misuse of the website, or any material you submit through it.
12. Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when they were last updated. Your continued use of the website after a change takes effect means you accept the updated terms.
13. Governing law and jurisdiction
These terms, and any dispute arising out of or in connection with them or with your use of this website, are governed by the laws of the Grand Duchy of Luxembourg, where the Fund is domiciled, without regard to conflict of law rules.
The courts of Luxembourg have exclusive jurisdiction over any such dispute, except that we may bring proceedings in the courts of the country where you are resident or established, and except where mandatory local consumer law gives you the right to bring proceedings elsewhere.
If any provision of these terms is found to be unenforceable, the rest of the terms continue to apply.
